Facing saturation of the PC market with its Windows operating systems, the software giant is looking to services as a necessary avenue for growth in its software sales. As a showcase for the concept, Microsoft is building and hosting its own services and will charge consumers and the businesses that want to reach them.

"Microsoft is nine to 12 months ahead of most vendors," Gartner analyst Mark Driver said. "IBM is close, about three to four months behind Microsoft, and the other Java vendors like Oracle will catch up by next year."

Analysts say other competitors, such as HP and BEA Systems, have potential but have yet to come out with products to turn their marketing rhetoric into reality. Nevertheless, analysts believe that these companies may still find opportunities, because many more technologies are needed for Web services to take off, especially in the areas of security and quality assurance.

"We don't expect it to have mainstream impact until 2004," Driver said. "It's a fact of nature that it takes a couple of years for technology to thrive."

Bricklin sees the potential for Web services to catch on with the mainstream much sooner, HP PB994A Battery, regardless of what happens to early high-profile examples such as Microsoft's .Net initiative.

"Even if the .Net My Services example doesn't work--if it never catches on--there is enough meat here," he said. "Companies realize that by exposing some functionality this way they make their products more useful."

Compaq to buy Digital for $9.6 billion

Compaq (CPQ) took a major step toward its stated goal of becoming the No. 1 computer power in the world by announcing it would acquire Digital Equipment (DEC) for $9.6 billion.
The acquisition, Hp laptop battery which has been the subject of high-level, on-again, off-again negotiations for at least two years, essentially will provide Compaq with the high-end hardware technology and the worldwide corps of consulting engineers it has needed to act as a global technology provider.

"The reason for reaching this agreement was really very simple. Together, we are a much stronger competitor than we were as separate companies," Digital chairman Robert Palmer said in a conference call today.

Under terms of the deal, Digital shareholders will receive $30 in cash and an estimated 0.945 shares of Compaq stock for each Digital share.HP Pavilion ZT3000 Battery, HP 337607-001 Battery, HP 337607-003 Battery, Compaq will issue about 150 million shares of its stock and pay $4.8 billion in cash for Digital.

The deal, which is expected to close sometime in the company's second quarter, comes at a time when Digital is moving away from its losses and into the black. In fiscal 1996 Digital reported a $111.8 million loss on $14.6 billion in revenues. But during fiscal 1997 the company has posted a profit of $140.9 million on revenues of $13 billion.

Compaq has performed strongly over the years, with 1997 revenues rising more than 30 percent, to $24.6 billion, and profits climbing more than 36 percent, to $1.9 billion.

technology necessary to take on hardware heavyweights IBM (IBM) and Hewlett Packard (HWP). HP Pavilion ZT3000 Battery, Industry analysts also say the merger could affect rival Dell Computer (DELL), because Dell outsources much of its service work to Digital.

Through Digital, Compaq gains 1,600 certified Windows NT technicians and 3,000 Unix professionals, as well as a full line of Unix-based servers and workstations.

"The combined revenues of the two companies for 1997 was $37.5 billion. That makes us the No. 2 computing company," Compaq CEO Eckhard Pfeiffer said during a conference call that emphasized Digital's service capabilities. "Digital brings a world-class workforce to the Compaq family."

A Digital acquisition also brings Compaq a good deal of hardware technology it will not need. Once the merger is completed, expect Compaq to terminate Digital's PC and notebook business, though the company's workstation and midrange server lines should survive, analysts say.

Among some of the initial changes Compaq likely will make after the acquisition, the computer maker likely will begin to rid itself of Digital's PC line as well as its computer-manufacturing capabilities. Many of Digital's employees may be relocated to Texas, as well. In addition, upper management from Digital likely will leave the company within a short period of time, much as upper management at Tandem left the company shortly after it was acquired by Compaq.

"It really is a huge system play," said Scott Miller, an analyst at Dataquest. "There is no leverage to the Digital name in PCs."

Customer Service (MCS) division, Digital Equipment's consulting and support arm, as one of the crown jewels of the deal. The unit accounted for roughly $1.5 billion in sales last quarter. Moreover, much of the work performed by the unit lay in high-level consulting rather than in the more pedestrian--and less lucrative--area of maintenance. MCS's reputation ranks with those of IBM and HP, making its addition to Compaq's fold a coup for the company.

But Kay said that, while the Compaq-Digital deal looks good on paper, it has the potential to founder on cultural issues, a point Pfeiffer himself brought up during today's conference call.

"Digital tends to focus on technology. They will build a better technology and wonder why people never came," Kay said, noting that Compaq has the opposite emphasis, focusing more on practical application.

Interestingly, while cultural issues loom in the acquisition, analyst Chip Christiansen of IDC Research pointed out that many Compaq executives came from Digital. Tandem president Enrico Pesatori, senior vice president John Rose, and CFO Earl Mason all came from Digital's ranks.

Many pointed out also that the deal could spell the end of the Digital's Alpha technology, though not immediately. The 64-bit computing platform--which does not exist on Windows-Intel technology--accounts for a large portion of Digital's revenue.

Still, over time, commitment to Alpha may fade. Digital earlier this year said it would support Intel's upcoming Merced chip, which rivals Alpha.

Ashok Kumar, an analyst for Loewenbaum & Company, HP 337607-003 Battery, said in reference to Microsoft's next-generation Windows NT operating system and Intel's next-generation processor. "Will they be able to grow revenues on [Alpha server lines]? Probably not. Momentum will shift to the Wintel camp with the appearance of Merced."

Kumar added further that the transfer of Digital's chip foundry to Intel in a recent legal settlement likely will not hold up the current deal. He said he had no doubt that Compaq did its due diligence surrounding the issue.

Pfeiffer, for his part, pledged commitment to Alpha. "We are committed to...investing in Digital's strategic assets, particularly its worldwide service organization, as well as its 64-bit leadership with Alpha microprocessors, OpenVMS, Digital Unix, HP Pavilion ZT3000 Battery, HP 337607-001 Battery, HP 337607-003 Battery, and Windows NT enterprise systems, open storage, and software products," he said.

The deal, which Christiansen said has been discussed for two years, probably became a reality because of Digital's concerted effort to shed itself of business units over the past two years. Since 1996, Digital has been able to rid itself of its disk drive operations, printer business, networking unit and, more recently, its chip fabrication plant.

"Compaq did not want to be in the chip business and did not want to compete against its largest partner Intel," he said.

Toshiba quits consumer desktops

Toshiba will pull out of the consumer PC business as it phases out its Infinia line, the latest sign that sub-$1,000 machines are taking their toll on manufacturers not aggressively pursuing this market.
The rise of low-cost PCs is the main reason for Toshiba's abandoning the market, Mike Stinson, Toshiba Laptop Battery senior director of product marketing at Toshiba, told CNET's NEWS.COM in an interview tonight.

Infinia consumer PCs were introduced only last September. The line competes head to head with the Compaq Computer Presario line, the Hewlett-Packard Pavilion, the IBM Aptiva, and Packard Bell models at large computer retailers such as CompUSA and on big online sales sites such as Computer Discount Warehouse.

"There?s been a tremendous [price] shift downward. We're hearing from some [resellers] that 70 percent of the market is below $1,400...30 percent is below $1,000," Stinson said.

"Infinia is not positioned for this kind of market. It is not designed to be a $999 PC, and it never will be," he added.

The Infinia is marketed as a high-end consumer computer with a panoply of multimedia features. The news about Toshiba's strategy shift was first reported by Computer Retail Week.

Toshiba will now give precedence to its Equium desktop business PC line and to preparing for its entrance into the server computer market next year, Stinson said.

The winner appears to be Compaq, Toshiba PA3331U-1BRS Battery, which has taken what can only be described as a scorched-earth policy in its attack on the consumer PC market. Compaq has blanketed every segment of this arena and has been particularly aggressive at the low end.

For example, Compaq offers a Presario that sells for about $795 with a 180-MHz Cyrix processor, a 1.6GB hard drive, modem, and CD-ROM drive.

But Toshiba isn't the only one feeling the effects. IBM recently restructured its consumer PC group to better deal with the low-cost phenomenon and promptly began to sell a sub-$1,000 box. Like Toshiba, IBM's Aptiva computer models were clustered perilously at the high end of the consumer market.

Toshiba will continue to sell notebook PCs in the consumer channel, according to Stinson. Toshiba will also leave open the possibility of selling selected Equium models to the consumer channel "if they want it," he said. Toshiba's Equium line is designed as a business PC for corporate customers.

The company may also look at getting back into the consumer market at another time with a low-cost "convergence" product that combines the functions of a PC and TV, Stinson said.

Toshiba will not bring out any new Infinia models and will sell off its inventory, he added.
Toshiba has recalled engineers from its joint memory chip project with IBM (IBM), Toshiba PA3166U-1BRS Battery, Siemens, and Motorola (MOT).
The roughly 70 engineers pulled were from a memory chip project at an IBM research and development center in East Fishkill, New York, according to the Nihon Keizai Shimbun, Japan's largest business daily.

Three semiconductor development alliances have been based at the IBM research center, including a 64-megabit DRAM development alliance with Siemens, a "shrink" 64-megabit DRAM memory chip alliance with Siemens and Toshiba, and a 256-megabit DRAM chip alliance with Siemens, Toshiba, and Motorola.

Toshiba is withdrawing the engineers from the 256-megabit DRAM project, Toshiba PA3191U-1BRS Battery, Toshiba PA3166U-1BRS Battery, Toshiba PA3331U-1BRS Battery, which was launched back in 1993. The four companies have been collaborating on development of future 256-megabit DRAM memory chips because the development costs for these next-generation memory chips are too great for any one company to shoulder.

But Toshiba is now afraid the project "could hamper its attempts to maintain a technology lead in Japan" where most of its production facilities are located. The company is therefore withdrawing the engineers, according to the report.

Currently, 16-megabit DRAM memory chips are widely used in personal computers.Toshiba PA3191U-1BRS Battery, The next-generation 64-megabit chips will hit the market slowly over the next couple of years. Memory chips that can hold 256 megabits of data are not expected to be available commercially until the end of the century.

Toshiba intends to maintain the relationship with the three other companies by co-developing 1-gigabit DRAM technology, the report added.
